Thank you for volunteering to help with Veterans Yoga Project’s mission to support recovery and resilience among our veterans, families, and communities. This Agreement is designed to provide overall guidance and direction to our volunteers.
1. Representing VYP
When representing VYP, I understand and agree that:
a. I am not authorized to enter contracts with organizations or individuals on behalf of Veterans Yoga Project (VYP) or obligate VYP, financially or otherwise.
b. I cannot make public statements to the press or present proposals to funding sources or potential class locations without prior language approval by the Executive Director or COO.
c. I am authorized to represent VYP only as specifically indicated within my job description and only to the extent of such written specifications.
2. Confidentiality and Copyright Matters
I understand and agree that:
a. I am responsible for maintaining the confidentiality of all VYP proprietary information that I am exposed to while serving as a volunteer. VYP proprietary information includes Mindful Resilience and other teaching training materials which are not available to the general public and confidential information involving staff members, volunteers, donors, clients, teachers, vendors, or other persons, or overall VYP business. My failure to maintain confidentiality may result in the termination of my relationship with VYP or other corrective action.
b. It is especially important that volunteer, donor and vendor personally identifying information be protected.
c. I will not:
• Sell or distribute documents or resources placed on the VYP website;
• Sell or distribute VYP lists of contributors, constituents or yoga teachers;
• Sell or distribute documents owned by VYP to any person or organization not affiliated with VYP; or
• Use VYP documents and lists for my own personal benefit or the benefit of anyone other than VYP.
d. When I send a single email to multiple listed contributors, constituents, yoga teachers or yoga studios or to VYP volunteers, Regional Directors and Area Managers, other than through the Neon data management system, I will place addresses in the blind copy (BCC) section of the email.
e. Any materials I create or produce as a volunteer for VYP or any region of VYP, including graphics materials, web page designs, narratives, research, compilations, instructional texts, etc., are the sole and exclusive property of VYP.
3. Screening/Reference Checks
I agree to authorize background or reference checks, and to submit professional references as requested by VYP.
4. No Harassment
I agree to adhere to the Veterans Yoga Project Policy on Sexual Misconduct.
I agree to defend, indemnify, and hold harmless VYP from all claims, losses, and liabilities (including reasonable attorneys’ fees) to the extent caused by my breach of this Agreement; my failure to discharge my duties and responsibilities set forth in this Agreement; or my negligence, gross negligence, or willful misconduct in the discharge of those duties and responsibilities.
6. Governing Law; Resolving Disputes
This Agreement is governed by the laws of the State of California, notwithstanding the application of any conflict of law rules.
If a dispute arises from this Agreement and if the dispute cannot be settled through negotiations within 30 days, I agree to try to first to settle the dispute with VYP with the help of a mutually agreed-upon mediator in Alameda County, CA. Any costs and fees other than attorney fees associated with the mediation will be shared equally by me and VYP. If it proves impossible to arrive at a mutually satisfactory solution through mediation, the parties agree to submit the dispute to a mutually agreed-upon arbitrator in Alameda County, CA. Judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction to do so. Costs of arbitration, including attorney fees, will be allocated by the arbitrator.
